Welcome to Kweet (“we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website, mobile applications, and related services (collectively, the “Service”). 3. Eligibility and Account Registration

Kweet is a tool designed to help nonprofits get new donors via social media. Our Service provides tools and features that facilitate account creation, content sharing, donor engagement, analytics, and other functionalities intended to improve your outreach and fundraising efforts. We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.

5. Acceptable Use and Prohibited Conduct

You agree to use the Service only for lawful purposes and in compliance with these Terms. You agree not to:

  • Violate any applicable law, regulation, or third-party right;
  • Use the Service to distribute any harmful, fraudulent, or malicious software, viruses, or other code;
  • Interfere with, disrupt, or attempt to gain unauthorized access to any part of the Service, our systems, or networks;
  • Post or transmit any Content that is unlawful, defamatory, obscene, or otherwise objectionable;

  • Billing: Billing occurs in advance on a recurring basis, according to your selected plan. You authorize us to charge your designated payment method for any fees incurred.
  • Changes: We reserve the right to change our subscription fees at any time. We will provide notice of any changes, and your continued use of the Service after such changes indicates acceptance of the new fees.

8.2. Free Trials

  • Trial Terms: We may offer free trials from time to time. During the trial period, you will not be charged. However, if you do not cancel before the trial expires, you will be automatically enrolled in a paid subscription.
  • Cancellation: Free trial offers are subject to change or termination at our sole discretion.

8.3. Refunds and Cancellations

  • Refunds: Subscription fees are non-refundable except as required by law or as otherwise provided in our refund policy.
  • Cancellations: You may cancel your subscription at any time through your Account settings. Cancellation will take effect at the end of the current billing cycle, and you will not be charged for subsequent periods.

9. Termination

  • By You: You may terminate your Account at any time by discontinuing use of the Service.
  • By Us: We reserve the right to suspend or terminate your Account and access to the Service immediately, without prior notice, if you breach these Terms or if we determine, in our sole discretion, that such action is necessary to protect our rights, users, or the integrity of the Service.
  • Effect of Termination: Upon termination, all rights granted to you under these Terms will cease, and you must immediately stop using the Service. Any accrued fees or outstanding obligations will remain payable.

10. Disclaimers and Limitation of Liability

10.1. “As Is” and “As Available”

The Service is provided on an “as is” and “as available” basis. Kweet makes no representations or warranties of any kind, express or implied, regarding the Service, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

10.2. Limitation of Liability

To the maximum extent permitted by applicable law, Kweet and its affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages, including without limitation, loss of profits or data, arising out of or in connection with your use of or inability to use the Service, even if advised of the possibility of such damages. In no event shall our total liability exceed the amount you have paid in the preceding 12 months.

11. Indemnification

You agree to indemnify, defend, and hold harmless Kweet, its affiliates, officers, agents, and employees from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your infringement of any rights of any third party.

12. Governing Law and Dispute Resolution

12.1. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Poland, without regard to its conflict of law principles.

12.2. Dispute Resolution

  • Informal Resolution: In the event of any dispute, you agree to first contact us to attempt to resolve the matter informally.
  • Binding Arbitration: If informal resolution fails, any dispute arising from these Terms or the use of the Service shall be resolved by binding arbitration in Poland, in accordance with the rules of the applicable arbitration body.
  • Class Action Waiver: To the maximum extent permitted by law, you agree that any dispute shall be resolved solely on an individual basis and that you and Kweet waive any right to participate in any class or representative action.

13. Miscellaneous

13.1. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be deemed severed from these Terms and the remainder shall continue in full force and effect.

13.2. Waiver

The failure of Kweet to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision unless acknowledged and agreed to by us in writing.

13.3. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kweet regarding your use of the Service and supersede all prior agreements and understandings.

13.4. Modifications

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice by updating the “Last Updated” date on these Terms. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
